Plain-language summary (not part of the agreement): This website, rxplain.com, is an informational and marketing site for RxPlain, a patient-education content and delivery service sold to healthcare and veterinary organizations. Nothing on this site is medical advice. The site does not create a treatment relationship. Do not send us protected health information through this site. Use of our paid products is governed by separate written agreements, not these Terms.

1. Agreement to These Terms

These Website Terms of Use (“Terms”) are a binding agreement between you (“you” or “user”) and [LEGAL ENTITY NAME], a [STATE OF INCORPORATION] [ENTITY TYPE] doing business as RxPlain (“RxPlain,” “we,” “us,” or “our”), governing your access to and use of the website located at www.rxplain.com and any related pages, content, and features we operate that link to these Terms (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site.

2. About RxPlain and the Scope of These Terms

RxPlain provides patient- and client-education content and delivery services to healthcare practices, health systems, urgent care groups, pediatric practices, veterinary organizations, and similar customers. The Site is an informational and marketing resource that describes our offerings.

The Site is not the product. Access to and use of RxPlain’s paid products and services are governed exclusively by separate written agreements between RxPlain and its customers (for example, a master services agreement, order form, statement of work, and, where applicable, a Business Associate Agreement). In the event of any conflict between those agreements and these Terms with respect to the products and services, the separate agreements control.

3. No Medical, Veterinary, or Professional Advice

The Site, and any content made available through it, is provided for general informational purposes only. It is not, and should not be relied upon as, medical advice, veterinary advice, diagnosis, or treatment, and it is not a substitute for the professional judgment of a qualified clinician.

Sample educational materials shown on the Site are illustrative examples of RxPlain’s work product and are not intended for use in the care of any specific patient or animal. Always seek the advice of a qualified health or veterinary professional with any questions regarding a medical condition, and never disregard or delay seeking professional advice because of something you read or viewed on the Site.

4. No Provider–Patient or Clinical Relationship

Your access to or use of the Site does not create any physician–patient, clinician–patient, veterinarian–client, or other professional or treatment relationship between you and RxPlain. RxPlain is not a healthcare provider and does not practice medicine, nursing, or veterinary medicine.

5. Medical Emergencies

Do not use the Site in a medical or veterinary emergency. If you think you may have a medical emergency, call your doctor or 911 (or your local emergency number) immediately. For an animal emergency, contact a licensed veterinarian or an emergency animal hospital. The Site is not designed or intended to facilitate emergency communications of any kind.

6. Do Not Submit Protected Health Information; HIPAA

The Site is not intended for the submission of protected health information (“PHI”) or other sensitive personal or health information about you or any third party. Please do not include PHI or individually identifiable health information in any form, email, or message you submit through the Site.

RxPlain is not acting as a HIPAA “covered entity” or “business associate” with respect to information submitted through the Site. Where RxPlain handles PHI on behalf of a customer in connection with its products and services, that handling is governed by a separate Business Associate Agreement and the applicable customer agreement — not by these Terms. Any information you choose to submit through the Site is handled as described in our Privacy Policy.

7. Informational Content; No Guarantee of Outcomes

Statements on the Site regarding potential benefits, results, statistics, case studies, research findings, or outcomes (including, for example, references to reduced callbacks, improved recall, or adherence) are provided for general informational purposes and reflect results, research, or experiences that may not be typical. Individual results vary and depend on many factors outside RxPlain’s control.

Nothing on the Site is a promise, warranty, or guarantee of any particular result. The Site may contain forward-looking statements about plans, capabilities, certifications in progress, or future offerings; these are subject to change and are not commitments. RxPlain undertakes no obligation to update any content except as required by law.

8. Not a Medical Device

RxPlain’s offerings consist of patient- and client-education content and the delivery of that content. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition, and are not intended to function as a medical device or as clinical decision-support software. Nothing on the Site should be construed as a representation that any RxPlain offering is a regulated medical device.

9. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for a business and professional audience and is directed to users in the United States. It is not directed to children, and we do not knowingly collect personal information from children through the Site. By using the Site, you represent that you meet these requirements and that your use complies with all applicable laws.

10. License to Use the Site

Subject to these Terms, RxPlain grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational, internal business, and evaluation purposes. We reserve all rights not expressly granted.

11. Prohibited Conduct

You agree not to, and not to permit any third party to:

  • Use the Site in any way that violates any applicable law or regulation, or infringes the rights of others;

  • Reproduce, distribute, publicly display, modify, create derivative works from, sell, or commercially exploit any part of the Site or its content without our prior written consent;

  • Copy, scrape, harvest, frame, mirror, or use automated means (including bots, crawlers, or scrapers) to access or collect data from the Site, except for legitimate search-engine indexing;

  • Reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Site, except to the extent such restriction is prohibited by law;

  • Attempt to gain unauthorized access to the Site, related systems, or networks, or interfere with or disrupt the integrity, security, or performance of the Site;

  • Introduce any virus, malware, or other harmful code, or engage in any activity that imposes an unreasonable load on our infrastructure;

  • Use the Site to transmit unsolicited communications, or impersonate any person or entity or misrepresent your affiliation;

  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices.

12. Intellectual Property

The Site and all content, features, and functionality — including text, graphics, logos, video, sample educational materials, designs, and the selection and arrangement thereof (collectively, “Content”) — are owned by RxPlain or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited license in Section 10, no right, title, or interest in any Content is transferred to you.

13. Trademarks

“RxPlain” and the RxPlain logo are trademarks or service marks of RxPlain. Other names, logos, product, and service names appearing on the Site may be the trademarks of their respective owners. You may not use any RxPlain mark without our prior written permission, and nothing on the Site grants any license or right to use any mark displayed on the Site.

14. Feedback and Submissions

If you submit suggestions, ideas, or other feedback about the Site or our offerings, you grant RxPlain a worldwide, perpetual, irrevocable, royalty-free, and fully sublicensable license to use, reproduce, and exploit that feedback for any purpose without restriction or compensation to you. You represent that you have the right to provide such feedback and that it does not include confidential information you are not authorized to share.

15. Third-Party Links and Content

The Site may contain links to third-party websites, resources, or content that RxPlain does not own or control. We provide these links for convenience only and do not endorse and are not responsible for the availability, accuracy, content, products, or services of any third party. Your use of third-party sites is governed by their own terms and policies and is at your own risk.

16. Privacy

Your use of the Site is subject to our Privacy Policy, available at www.rxplain.com/privacy, which describes how we collect, use, and disclose information in connection with the Site and is incorporated into these Terms by reference. Certain state laws — which may include the California Consumer Privacy Act, California’s Confidentiality of Medical Information Act, Washington’s My Health My Data Act, and others — may provide you with additional rights; please see the Privacy Policy for details.

17. Accessibility

RxPlain strives to make the Site accessible and is working toward conformance with recognized accessibility standards. If you encounter difficulty accessing any part of the Site, please contact us at [CONTACT EMAIL] so we can assist you and work to address the issue.

18. Disclaimer of Warranties

The Site and all Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, RxPlain disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. RxPlain does not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any Content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

19. Limitation of Liability

To the fullest extent permitted by law, in no event will RxPlain or its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of (or inability to access or use) the Site or any Content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not RxPlain has been advised of the possibility of such damages.

To the fullest extent permitted by law, RxPlain’s total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100). The limitations in this section do not apply to liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless RxPlain and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you submit through the Site. RxPlain reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

21. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to Section 22, you and RxPlain agree to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY] County, New York, and waive any objection to those venues.

22. Dispute Resolution; Arbitration; Class-Action Waiver

Please read this Section carefully. It affects your legal rights, including a waiver of jury trial and class actions, and should be reviewed and tailored by counsel before publication.

Except for claims that may be brought in small-claims court and except for requests for injunctive or equitable relief to protect intellectual property or confidential information, any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally will be resolved by binding arbitration administered by [ARBITRATION PROVIDER] under its then-current rules. The arbitration will take place in [COUNTY] County, New York, or by remote means, and judgment on the award may be entered in any court of competent jurisdiction.

To the fullest extent permitted by law, you and RxPlain agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable, the remainder of this Section will be unenforceable. You may opt out of this arbitration provision within 30 days of first accepting these Terms by sending written notice to [CONTACT EMAIL].

23. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above and post the revised Terms on the Site. Material changes will be effective upon posting (or as otherwise stated). Your continued use of the Site after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site.

24. Termination

We may suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination — including Sections 3 through 8 and 12 through 22 — will survive.

25. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and RxPlain regarding the Site and supersede all prior understandings on that subject.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. These Terms bind and benefit the parties and their permitted successors and assigns.

Force Majeure. RxPlain is not liable for any delay or failure to perform resulting from causes beyond its reasonable control.

Headings. Section headings are for convenience only and do not affect interpretation.

Notices. We may provide notices to you by posting on the Site or by other reasonable means. You may provide notices to RxPlain at the contact information below.
